These Terms of Service ("Terms") govern the use of Dahlia Connect (the "App") provided by MOMO Works G.K. ("we"). By using the App you agree to these Terms. If your individual contract with us differs from these Terms, the contract prevails.

1. The App

The App is a business tool that lets Dahlia AI's clients connect their own Pinterest, TikTok and TikTok Shop accounts to the reporting and posting tools we build for them.

2. Users and accounts

  1. Only people whose email address we have added to a workspace may use the App.
  2. You manage who is on your workspace and are responsible for their use of it.
  3. You must have the authority to connect each account you connect.

3. Approval and content

  1. The App publishes only the posts you review and choose to publish.
  2. You are responsible for your content, including compliance with Japanese law (such as the Act against Unjustifiable Premiums and Misleading Representations, the Pharmaceutical and Medical Device Act and the stealth marketing rules) and for disclosing promotional content.

4. Platform terms

  1. You must follow the terms and policies of Pinterest, TikTok and TikTok Shop.
  2. We are not responsible when a platform changes, restricts or stops its API, or has an outage, and the App cannot be used as a result.

5. Prohibited use

Unlawful use, connecting accounts you are not authorized to use, spam or bulk automated posting, unauthorized access to or reverse engineering of the App, and any use that breaks a platform's terms are prohibited.

6. Fees

Use of the App is included in your Dahlia AI contract. Any separate fee will be agreed in writing beforehand.

7. Suspension and termination

  1. We may suspend use without notice if you break these Terms or when needed for security.
  2. You can disconnect at any time. When your contract ends we delete your tokens and workspace data.

8. Warranty and liability

  1. We do not guarantee that the App will run without interruption.
  2. Except in cases of our intent or gross negligence, our liability in connection with the App is limited to the maintenance fees you paid us in the three months before the month the damage arose.

9. Changes

We may change these Terms. We will announce changes on this page and by email before they take effect.

10. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute about the App.
